The following Terms of Use (“Terms”) govern your access and/or use of the Medica Central Insurance Company website and any other website that is owned by Medica (also “we,” “us” and “our”) that you directly access and/or use or access/use through Medica.com (“Websites”) and other services offered by Medica (“Services”). By accessing or using any of the Websites, you agree that you will comply with, and that your access/use will be governed by, these Terms. 

These Terms govern your access/use of both the publicly available portion of the Websites and the private portion, which is available only to users who provide an account name and password.

  1. We Do Not Provide Medical Advice. Any medical or health care information provided and hosted on any of the Websites should not be construed as medical advice, diagnosis or treatment. Your access/use of such information on the Websites is designed to support, not replace, the relationship that exists between you as a patient/site visitor and your physician. If you suspect that you may have a medical problem or condition, please contact your physician or other qualified health care professional immediately. Any access or use by you of any of the Websites or use by you of the information contained on any of the Websites, or any third-party website accessed through the Websites, is at your own risk. In no event shall Medica, or its affiliates, be liable for any action or inaction taken in reliance upon information provided via the Websites. Medica and the third-party suppliers of any information contained on the Websites will not be responsible for the consequences of your decision to access and/or utilize the information contained on the Websites.

    NO INFORMATION PROVIDED BY US IS INTENDED AS A SUBSTITUTE FOR, NOR DOES IT REPLACE, PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. IF YOU THINK YOU MAY HAVE A MEDICAL EMERGENCY, CALL YOUR DOCTOR OR 911 IMMEDIATELY. YOUR USE OF THE WEBSITES OR SERVICES IS SOLELY AT YOUR OWN RISK. NOTHING STATED OR POSTED ON THE SERVICES OR OTHERWISE AVAILABLE THROUGH THE SERVICES IS INTENDED TO BE AND MUST NOT BE TAKEN TO BE, THE PRACTICE OF MEDICINE OR OTHER PROFESSIONAL HEALTHCARE ADVICE, OR THE PROVISION OF MEDICAL CARE. NO LICENSED MEDICAL PROFESSIONAL-PATIENT RELATIONSHIP IS CREATED WHEN YOU ACCESS/USE THE WEBSITES OR SERVICES. THIS IS TRUE WHETHER SUCH ACCESS/USE IS DIRECTLY BY YOU OR THROUGH ANY OTHER COMMUNICATIONS FROM US INCLUDING, WITHOUT LIMITATION, ANY BLOG, SOCIAL MEDIA, EMAIL OR TEXT.
  2. Additional Terms. Some of our Services have additional terms and conditions (“Additional Terms”). Where Additional Terms apply to a Service, we will make them available for you to read through your use of that Service. By accessing/using that Service, you agree to the Additional Terms.

  4. Acceptable Use. You are permitted to access and make personal use of the Websites and Services. By your access/use of the Websites and Services, you agree that you will access/use the Websites and Services only for personal lawful purposes. When using the Websites and/or Services you will not: 
    1. violate any law or regulation;
    2. copy, distribute, index, mine, publish, reproduce, resell, or transmit any content contained on the Websites, or on any other site that you access/use through the Websites;
    3. violate, infringe, or misappropriate other people’s intellectual property, privacy, publicity, or other legal rights;
    4. post or share anything that is illegal, abusive, harassing, harmful to reputation, pornographic, indecent, profane, obscene, hateful, racist, or otherwise objectionable;
    5. send unsolicited or unauthorized advertising or commercial communications, such as spam;
    6. engage in spidering or harvesting, or participate in the use of software, including spyware, designed to collect data from the Websites or Services;
    7. transmit any viruses or other computer instructions or technological means whose purpose is to disrupt, damage, or interfere with the use of computers or related systems;
    8. conduct any activity that precedes attempts to breach security such as scanning, probing, or other testing or vulnerability assessment activity, or engaging in or permitting any network or hosting activity that results in the blacklisting or other blockage of Medica’s IP space; 
    9. stalk, harass, or harm another individual;
    10. impersonate any person or entity or perform any other similar fraudulent activity, such as phishing;
    11. data mine or use similar data gathering and extraction tools, software or other means of access to “scrape,” “crawl,” or “spider” any portion of the Websites or Services;
    12. engage in any other automated use of the Websites or Services, such as using scripts to add users or post content, or any other action that could, in Medica’s sole judgment, interfere with any other party’s use or enjoyment of the Websites or Services, impair Medica’s networks or servers, or expose Medica or any third party to any claims or liability whatsoever;
    13. attempt to circumvent any technological measure implemented by us or any of our providers or any other third party (including another user) to protect the Websites or Services;
    14. attempt to decipher, decompile, disassemble, or reverse engineer any of the software or other underlying code used to provide the Websites or Services; or
    15. advocate, encourage, or assist any third party in doing any of the foregoing. any
      You further acknowledge and agree that any activity on the Websites is subject to monitoring by Medica at any time, and that Medica may use the results of such monitoring without limitation, subject to applicable law. If you are blocked from the Websites (including by blocking your IP address), you agree not to implement any measures to circumvent such blocking.
  5. Ownership of the Websites. We own or license all right, title, and interest in and to (a) the Websites and Services, including all software, text, media, and other content available on the Websites and Services (“Our Content”); and (b) our service marks, trademarks, tradenames, logos, and brand elements (“Marks”). The Websites and Services, Our Content, and Marks are all protected under U.S. and international laws. The look and feel of the Websites and Services are copyright. All rights reserved. You may not duplicate, copy, or reuse any portion of the Websites, Services, or visual design elements or concepts without express written permission from Medica. You further agree to in no other way, misuse Our Content or third party content that appears on this Website.
  6. Accounts; Passwords. If a particular feature or Service offered on the Website requires you to open an account, you must complete the specified registration process by providing us with current, complete, and accurate information as requested by the applicable online registration form. It is your responsibility to maintain the currency, completeness, and accuracy of your registration data and any loss caused by your failure to do so is your responsibility. After you have fully completed the registration form, you may be asked to choose a password and a user name. It is entirely your responsibility to maintain the confidentiality of your password and account. Additionally, you are entirely responsible for any and all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. You further agree not to email, post, or otherwise disseminate any user ID, password, or other information which provides you access to the Website. We are not liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge.

    Although Medica uses reasonable precautions to safeguard the confidentiality of information received and sent over the internet or electronic mail (e-mail), Medica cannot guarantee the confidentiality of such information. If you correspond with Medica via the internet or electronic mail (e-mail) you agree to waive claims against Medica and its suppliers regarding any third party’s access to or use of information that you provide to Medica or information that you receive from Medica.
  9. Disclaimers and Limitations of Liability.

    YOU UNDERSTAND AND EXPRESSLY AGREE THAT USE OF THE WEBSITES OR SERVICES, AND THE MATERIALS ON THE WEBSITES, ARE PROVIDED “AS-IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. MEDICA DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR OTHER VIOLATION OF RIGHTS.

    MEDICA DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE, VALIDITY OR ACCURACY OF, OR THE RESULTS OF THE USE OF, ANY SERVICES OR INFORMATION REVIEWED OR PROPERLY OBTAINED ON OR THROUGH THE WEBSITES OR SERVICES, REGARDING ANY TRANSACTION(S) ENTERED INTO THROUGH THE WEBSITES OR THAT THE WEBSITES WILL MEET ANY USER’S REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE, RESPECTING THE MATERIALS ON THE WEBSITES OR ANY THIRD-PARTY SITE(S) ACCESSED FROM ANY OF THE WEBSITES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES INCLUDING, BUT NOT LIMITED TO, MEDICA’S NEGLIGENCE, SHALL MEDICA BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OR THE INABILITY TO USE THE WEBSITES OR SERVICES. IF YOU ARE DISSATISFIED WITH THE WEBSITES OR SERVICES, THE INFORMATION ON OR MADE AVAILABLE THROUGH THE WEBSITES OR SERVICES, OR WITH ANY OF MEDICA’S TERMS AND CONDITIONS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE WEBSITES OR SERVICES.

    Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations and disclaimers may not apply to you. To the extent Medica may not, as a matter of applicable law, disclaim any implied warranty or limit its liabilities, the scope and duration of such warranty and the extent of Medica’s liability will be the minimum permitted under such law.
  10. Indemnification.
    You agree to indemnify, defend, and hold Medica and its affiliates harmless from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees of any kind (including reasonable attorneys’ fees and legal costs), arising from or relating to: (a) any information that you or anyone using your account submit, post, or transmit on or through the Websites or Services; (b) the use of the Websites or Services by you or anyone accessing or using your account; (c) the violation of these Terms by you or anyone accessing or using your account; or (d) the violation of any rights of any third party, including intellectual property, privacy, publicity, or other proprietary rights by you or anyone accessing or using your account. Medica reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. If we do assume the defense of such a matter, you will reasonably cooperate with Medica in such defense.
  11. Access Outside of the United States. The Websites and Services are intended for use within the United States, and we make no claims that the Websites and Services are appropriate to be downloaded and/or used outside of the United States. Access to the Websites and Services may not be legal by certain persons or in certain countries. If you access the Websites and Services from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.
  12. Termination. Medica further reserves the right to terminate your access/use of any of the Websites or Services at any time and for any reason, with or without prior notice to you, including violation of any provision of these Terms, or use of the Websites or Services in a manner for which the Websites or Services are not intended to be used. These Terms will survive and remain in effect even after such termination.
  13. Changes to These Terms. Medica reserves the right to change these Terms at any time without prior notice. Any such updated version of these Terms will be posted on this page or a similar page of this website. Your use of any of the Websites or Services following any such change constitutes your agreement to follow and be bound by the modified Terms. 
  14. Other Provisions.
    1. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You understand if you do not provide us with and maintain in your account profile, your current and active email address, we may not be able to contact you.
    2. Under no circumstances will Medica be held liable for any delay or failure in performance due in whole or in part to any acts of nature or other causes beyond its reasonable control.
    3. These Terms will be governed by and construed in accordance with the laws of the State of Minnesota, without giving effect to any conflict of laws rules or provisions. 
    4. You agree that any action of whatever nature arising from or relating to these Terms, the Websites, or the Services will be filed only in the state or federal courts located in Minnesota. You consent and submit to the personal jurisdiction of such courts for the purposes of any such action. 
    5.  If there is a conflict between an oral or written representation made by Medica or any Medica employee or agent and these Terms, these Terms will prevail. If any provision of these Terms is found to be unlawful, void, or unenforceable, then that provision will be deemed severable from these Terms and will not affect the validity or enforceability of any remaining provisions.
    6. The failure of Medica to enforce any right or provision of these Terms will not prevent Medica from enforcing such right or provision in the future.
    7. Headings in these Terms are for purposes of reference only and shall not limit or otherwise affect the meaning of these Terms.
    8. We may assign our rights and obligations under these Terms, including in connection with a merger, acquisition, a sale of assets, or by operation of law.
